Real Estate Sale Terms
Bidding Procedure: The property will sell by the Multi-Parcel Method in individual tracts, in combinations of tracts, or in the entirety to the highest bidder(s) subject to Swing Tract stipulations on Tracts B-5 as set forth below. Bidding on all tracts and combinations during the auction will be determined by the Auctioneer. The property will sell in the manner resulting in the highest total bid price, subject to the confirmation of the Sellers.
Swing Tracts: Tract B-4 will be offered in combination with Tract B-3 or to any bidder who owns real property with qualifying road frontage contiguous to the Swing Tract(s).
Grain Facility Bidding and Removal: Tract B-5 (grain facilities) will be offered as a separate tract and may be combined with Tract B-1 or any combination of tracts containing Tract B-1. If Tract B-5 receives no bids, it will be considered to be a part of Tract B-1 and title will pass to the Buyer of Tract B-1 at closing. If Tract B-5 sells to a different Buyer than Tract B-1, Buyer of Tract B-5 will remove the grain bins, grain dryer, grain pipe, and all other attachments at his/her expense on or before October 24, 2003. Upon failure by the Buyer of Tract B-5 to comply with the terms of the auction as stated above, Buyer of Tract B-1 will assume ownership of the grain facilities.
Acceptance of Bid Prices: The successful bidder(s) will sign a Confirmation of Sale Agreement at the auction site immediately following the close of bidding.
Down Payment: Ten percent (10%) down payment day of auction upon signing of Confirmation of Sale Agreement; balance due at closing. Bidding IS NOT CONDITIONAL UPON FINANCING.
Real Estate Taxes: Taxes prorated to date of closing. Purchaser to be responsible for any CAUV recoupment charges due to change in land use.
Survey: The Sellers will provide a new survey to the Purchaser of Tract B-1. All lot splits and new division lines are subject to the final approval of all appropriate Clark County and Moorefield Township governmental departments.
Closing Date: On or before June 6, 2003.
Possession: Date of closing, with rights to till ground and plant crops for 2003 planting season immediately following signing of Confirmation of Sale Agreement. Purchaser(s) take pre-closing possession subject to risk of loss of all inputs in event of Purchaser's(s') default on contract(s)
